Release and Waiver of Liability, Assumption of Risk and, Indemnify Agreement

In consideration of the voluntary participation in activities, events, and use of property, equipment, facilities, merchandise, services, programs, and operations (collectively referred to as the “Activities”) provided, hosted or sponsored by WOOLLY FURNITURE LLC, a Colorado Business (“Woolly Furniture”), including but not limited to participating or volunteering in events, classes, workshops, and operation of tools and equipment, I, the undersigned participant (“Participant”), hereby freely, voluntarily, and without duress execute this Release and Waiver of Liability, Assumption of Risk, and Indemnity Agreement (this “Agreement”) under the following terms:

1. Release and Waiver of Liability. I, the undersigned Participant, on behalf of myself, my heirs, assigns, representatives, guardians, next of kin, spouse, and legal representatives, hereby RELEASE, WAIVE, AND DISCHARGE Woolly Furniture LLC and its directors, officers, employees, agents, volunteers, affiliates, and representatives (collectively, the “Released Parties”) from any and all liability, claims, demands, actions, or causes of action, including but not limited to negligence, that result in personal injury, illness, death, or property damage arising from or in connection with my participation in the Activities, to the fullest extent permitted by law.
2. Assumption of Risk. I, the undersigned Participant, acknowledge that the Activities may involve inherent risks, dangers, and hazards, including but not limited to the operation of power tools, use of equipment with moving parts, exposure to hazardous materials, and physical exertion. I understand that such risks could result in personal injury, serious bodily harm, permanent disability, or death. I VOLUNTARILY ASSUME ALL SUCH RISKS, whether known or unknown, associated with my participation in the Activities, regardless of whether such risks result from the actions, omissions, or negligence of the Released Parties or otherwise.
3. Indemnification and Hold Harmless. I, the undersigned Participant, agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from and against any and all claims, actions, judgements, damages, losses, costs, expenses (including reasonable attorneys’ fees), and liabilities arising out of or in connection with my participation in the Activities, including but not limited to claims resulting from my own negligence or intentional misconduct, or from any breach of this Agreement.
4. Medical Consent and Insurance. I, the undersigned Participant, authorize Woolly Furniture LLC and its representatives to obtain medical treatment on my behalf in the event of an emergency. I understand and agree that I am solely responsible for all costs associated with such medical treatment and that I am encouraged to carry my own health and accident insurance. I understand that Woolly Furniture LLC does not assume any responsibility for or obligation to provide financial assistance or other assistance, including but not limited to automobile, volunteer accident, medical, health, or disability insurance of any nature in the event of my injury, illness, or death, or damage to or loss of my property
5. Photo and Media Release. I, the undersigned Participant, grant permission to Woolly Furniture LLC to use photographs, video recordings, or other media containing my name, image, likeness or voice for promotional, educational, or other purposes, without compensation or further notice, unless I specifically opt out in writing prior to participating in the Activities. I hereby grant and convey to Woolly Furniture LLC all right, title, and interest, including but not limited to, any royalties, proceeds, or other benefits, in any and all such photographs or recordings.
6. Governing Law; Severability. I, the undersigned Participant, agree that this Agreement is intended to be as broad and inclusive as permitted by the laws of the State of Colorado, and if any portion of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Colorado, without reference to any choice of law doctrine.
7. Entire Agreement; Binding Effect; Headings. I hereby agree that this Agreement represents the full understanding between Woolly Furniture LLC and me with respect to the Activities and supersedes all other prior agreements, understandings, representations, and warranties, both written and oral, between us, with respect to the subject matter hereof. This Agreement is binding on and inures to the benefit of Woolly Furniture LLC and myself and our respective heirs, executors, administrators, legal representatives, successors, and permitted assigns. Section headings are for convenience of reference only and shall not define, modify, expand, or limit any of the terms of this Agreement.
8. Acknowledgment of Understanding. I, the undersigned Participant, acknowledge that I have read this Agreement, fully understand its terms, and sign it freely and voluntarily without any inducement or assurance of any nature. I understand that I am giving up substantial rights by signing this Agreement and intend for my signature to be a complete and unconditional release of liability to the greatest extent allowed by law.
